1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and Texas Net Worth LLC, a Texas limited liability company (Texas SOS File No. 806680150) ("Texas Net Worth," "we," "us," or "our"), governing your access to and use of WealthAgent and related websites, applications, and APIs (the "Service").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. The Service is intended for personal, individual use by residents of the United States. By using it, you represent that you meet these requirements and that the information you provide is accurate.

3. What the Service is — and what it is not

WealthAgent aggregates your financial accounts, on a read-only basis, into a single view and lets you expose that view to AI agents you choose. The Service:

• Does not move money, initiate payments, or execute trades;
• Does not provide financial, investment, tax, legal, or accounting advice; and
• Presents information sourced from your institutions via Plaid, which may be delayed, incomplete, or inaccurate. You should not rely on the Service as your sole record and should verify important figures with your institution or a qualified professional.

Nothing in the Service is a recommendation to buy, sell, or hold any security or to take any financial action.

4. Your account

• Sign-in. Accounts are created through Google Sign-In. You are responsible for maintaining the security of the Google account you use and of any personal access tokens you issue.
• Accuracy. You agree to provide accurate information and to keep it current.
• One account. Accounts are for a single individual. Do not share your account or credentials.
• Responsibility. You are responsible for all activity under your account. Notify us promptly at support@texasnetworth.com of any unauthorized use.

5. Connecting financial accounts (Plaid)

To use the Service you connect your financial institutions through Plaid Inc. You enter your institution credentials directly with Plaid; we never receive or store them. By connecting an account, you authorize us and Plaid to access and retrieve your account information on your behalf, and you agree to Plaid's applicable end-user terms and privacy policy. You may disconnect an institution at any time.

6. Connecting AI agents (MCP)

The Service lets you connect third-party AI agents (for example Claude, ChatGPT, or Gemini) over the Model Context Protocol using a personal access token or OAuth authorization you grant. When you do, that agent can read the financial data you authorize.

• You are solely responsible for the AI agents you connect and for the tokens you issue.
• Third-party AI providers are independent of us; their handling of your data is governed by their terms and privacy policies, not ours.
• You can revoke any token or authorization at any time from within the Service.

7. Subscriptions, billing, and cancellation

• Plans and price. The Service is offered on a paid subscription: $8 per month or $80 per year, plus any applicable sales tax. Current pricing is shown at checkout.
• Payment processor. Billing is handled by Stripe, Inc. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring basis.
• Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel.
• Cancellation. You may cancel at any time through the billing portal. Cancellation stops future renewals; you keep access until the end of the current paid period.
• Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods.
• Failed payments. If a charge fails, we may retry and may suspend or downgrade your access until payment succeeds.
• Price changes. We may change prices; we will give you advance notice, and changes apply to the next billing period.
• Taxes. You are responsible for any applicable taxes, which may be added at checkout.

8. Acceptable use

You agree not to:

• Use the Service in violation of any law or regulation;
• Access data that is not yours, or attempt to gain unauthorized access to the Service or its systems;
• Reverse engineer, decompile, scrape, or build a competing product from the Service, except to the extent this restriction is prohibited by law or permitted by the Service's open-source license;
• Interfere with, overload, or disrupt the Service, or circumvent rate limits or security controls;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted;
• Upload malicious code or use the Service to infringe others' rights.

We may suspend or terminate access for violations.

9. Your content

You retain ownership of the content you create in the Service (such as tags, notes, and nicknames). You grant us a limited, non-exclusive license to host, process, and display that content solely to operate and provide the Service to you.

10. Intellectual property

The Service, including its software, design, and trademarks, is owned by Texas Net Worth or its licensors and is protected by intellectual-property laws. Except for rights expressly granted to you (including any rights under the Service's open-source license, where applicable), we reserve all rights. These Terms do not grant you any right to our name, logos, or branding.

11. Third-party services

The Service relies on third parties, including Plaid, Stripe, Google, and the AI providers you connect. We are not responsible for third-party services, their availability, or their acts or omissions, and your use of them may be subject to their own terms.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AGGREGATED DATA WILL BE ACCURATE, COMPLETE, OR TIMELY. THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEXAS NET WORTH AND ITS OWNERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless Texas Net Worth from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or of any law or third-party right.

15. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we will handle your data as described in the Privacy Policy. Sections that by their nature should survive (including Sections 9–14 and 16) will survive termination.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute will be the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.

17. Changes to the Service and these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; if we make material changes, we will notify you by email or through the Service and update the "Last updated" date. Your continued use after the changes take effect means you accept the revised Terms.

18. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
